Application Requirements

1. Fixed Premise
2. Necessary Business Facilities
3. Minimum Registered Capital: 2.5 million RMB
4. Quality Deposit: 600,000RMB
5. Investor is principally engaged in travel agency or tourism enterprises
6. Investor is the Tourism Industry Association Member of country (region)
7. Investor has a good international reputation and advanced management experience of travel agencies
8. Investor comply with Chinese laws and regulations relating to China's tourism
9. Chinese investors of foreign-invested travel agencies should be the company established in accordance with the law; without major irregularities or illegal records in past three years; comply with the careful and specific industry requirements regulates by The tourism administration departments of the State Council
10. Tour operators total yearly amount of the establishment of foreign-controlled travel agencies by overseas investor is more than 40 million US dollars
11. Tour operators total yearly amount of the establishment of foreign-invested travel agencies by overseas investor is more than 500 million US dollars

Note: Tour operators total yearly amount of the establishment of foreign-controlled travel agencies by Hong Kong and Macao service providers in the Mainland is no less than 12 million US dollars

Application Procedure

1. Pre-approval of WOFE Name

• Examination and Approval Department: Administration of Industry and Commerce.

2. Pre-approval of Setting up Foreign-invested Travel Agency

• Examination and Approval Department: National Tourism Administration
• Time Limit: Within 60 working days
• Required Documents:
  • Application for setting up travel agency
  • Feasibility report
  • Article of association
  • CV of manager and deputy manager of the travel agency
  • Credit certificate of investor (issued by the bank)
  • Identification that foreign investor is the travel agency or tourism enterprise
  • Identification that tour operators total yearly amount operated of foreign investor is more than 500, million US dollars
  • Identification that tour operators total yearly amount of the establishment of foreign-controlled travel agencies by overseas investor is more than 40 million US dollars
  • Certificate that investor is the Tourism Industry Association Member of country (region)
  • Investor has a good international reputation and advanced management experience of travel agencies
  • Proof of the use of premises
  • Proof of business facilities

3. Application for setting up WOFE

• Examination and Approval Department: Municipal Bureau of Commerce

Please note: Foreign investors should provide a main body qualifications proof or an identification notarized by a domestic notary organ as well as by the Chinese embassy in those their home countries. Investors from Hong Kong, Macau, Taiwan must also provide documents notarized by their domestic notary organ (documents from Hong Kong should be stamped and forwarded by the China Legal Service (H.K.) Ltd. Valid Mainland Travel Permits can be personal identification for Taiwan investors and do not need to be notarized.) If foreign inverstors are from countries which have not established or have ended foreign relations with China, their main body qualifications proof or the identification should be notarized by their domestic authorities and then by a third country´s embassy whose country has established foreign relations with China. All the notarized documents have to be notarized by the Chinese embassy located in the third country.

• Examination and Approval Department: Engraving of organization chop proposed by police station

8. Application for Code of Enterprise

• Examination and Approval Department: State Bureau of Technical Supervision (The Administration Center of Organization Code)

9. Tax Registration

• Examination and Approval Department: Municipal Local Taxation Bureau

10. Registration of Administration of Foreign Exchange

• Examination and Approval Department: Beijing Center of Foreign Exchange Control

11. Opening Bank Account

• Examination and Approval Department: Local bank

12. Financial Registration
